Session B: Media, Entertainment, Advertising, Technology and Money: Funds, Mergers, Acquisitions, Takeovers and Targets The VC and strategic investment community has always led the way in recognizing the newest opportunities in the technology and entertainment space. In this era of economic flux, boom and bust, there are as many interpretations of value, opportunity and investment as there are investors and analysts in the industry. In this session, we bring together a number of the formative players in the Media, Entertainment, Technology finance world who have played a part in the investments, mergers, acquisitions and takeovers over the past few years. At the moment there is more money chasing fewer ready resources, but as the market predictably shakes out, how the relationship between the traditional and new media companies settles will create a fascinating foundation for the next step in growth for our industry. Are we building toward another bubble or are we laying the groundwork for a period of hypergrowth in the convergence space? Media companies are making nine and ten figure bets in this new arms race and what the future holds is anyones guess. Dennis Miller is a General Partner at Spark Capital. His investments at Spark include Twistbox Entertainment and DoctorsDirect.com. Mr. Miller was most recently a Managing Director of Constellation Ventures in New York City where he focused on programming services, distribution opportunities on new platforms created by the increasing fragmentation and dislocation in the media marketplace, and technologies that allow media to be provided in ways that reflect today's consumer. His investments at Constellation include College Sports Television, TVONE (a joint venture between Comcast, Direct TV, and Radio One); K-12- an online education service founded by Bill Bennett, Lowell Milken and Larry Ellison; The Gospel Channel, Fathom Online (a leading search engine marketing company). He has also served on the Board of Directors of Capital IQ which has been sold to McGraw Hill. Prior to Constellation Ventures, Mr. Miller served in a number of high level executive positions at leading media companies. From 1998 to 2000, Mr. Miller was Executive Vice President of Lions Gate Entertainment. In this capacity, Mr.Miller was integrally involved in Lions Gate's aggressive acquisition and growth strategy which in two years, acquired a film production and distribution entity, an animation company, a film studio plant, and started a television division resulting in annual sales of $175 million. During his tenure, Lion's Gate successfully sold a one third interest in Lion's Gate to Scandinavian Broadcasting System, Telemunchen, and Paul Allen in early March of 2000. Prior to joining Lions Gate, Mr. Miller was Executive Vice President of Sony Pictures Entertainment (SPE). Mr. Miller was responsible for the television operations of SPE which accounted for roughly two thirds of SPE's operating income, and was actively involved with strategic planning and new media. During Mr. Miller's tenure, Sony's television operation became the second largest supplier of television programming in the United States. Mr. Miller had responsibility for Sony's television operation that included, network, first-run, cable, international channels and new media. Sony owned, operated or had and interest in 12 channels or platforms including HBO Ole, the Action Channel in Asia, two movie channels in Australia, and a general entertainment channel in India. During Mr. Miller's tenure, Sony's new media division launched its primary internet initiative - the Sony Station. Mr. Miller's division included over 750 individuals with annual revenues of $1.4 billion and EBITDA of roughly $180 million. From 1990-1995, Mr.Miller was Executive Vice President of Turner Network Television, with responsibility for production, business affairs and original programming for the TNT Network, overseeing all aspects of the network's operation. Mr.Miller's responsibilities included oversight of 100 million in annual original programming, scheduling and marketing both the NBA and the NFL programs and the management and day to day operations of a 256 person team. During this period, Turner Network Television grew from 34 million subscribers and $240 million in revenues to 55 million subscribers and $525 million in revenues with $150 million in free cash flow. In 1997, Mr. Miller took on the additional responsibility for the Turner Entertainment Company, which spearheads the utilization of Turner's library of more than 3,000 motion picture titles. Mr. Miller began his career as an attorney with Manatt, Phelps, Rothenberg and Phillips in Los Angeles. He received his Juris Doctorate from Boalt Law School at the University of California at Berkeley in 1982.
Bruce A. Eatroff, Partner, Halyard Capital: Mr. Eatroff is a founding partner of Halyard Capital. Mr. Eatroff has a broad spectrum of private equity investing experience across the Media, Communications and Business Services industries including telecommunications, cable, publishing, broadcasting, marketing services and IT services. He represents Halyard on the Boards of Education Dynamics, Engauge, impreMedia and Presidio Networks, and previously sat on the Boards of Hanley Wood and TRANZACT. Mr. Eatroff has been a featured speaker and panelist at over fifty industry events and conferences. He has over twenty years of Wall Street experience including senior positions at Goldman Sachs, UBS Securities and CIBC World Markets. Mr. Eatroff received an M.B.A. from The Wharton School and a B.A. with honors from Lafayette College.
Roger Lee, General Partner, Battery Ventures: Roger joined Battery in 2001 and focuses on the software, consumer Internet and digital media markets. Roger is currently a board member at Angie's List, FreeWheel, Insitu, Lotame, Peerflix, PrimeRevenue, Spot Runner, TrialPay, and World Golf Tour, and he was a board observer at Neoteris prior to its acquisition by NetScreen. Before joining Battery, Roger spent 10 years as an entrepreneur and operator. Most recently, he was a co-founder of Corio, a leading managed service provider that was acquired by IBM. At Corio, Roger oversaw all business development activities and later became a General Manager of the e-commerce business unit. Prior to Corio, Roger was the Manager of Internet Products at Edify Corporation. Roger was also the co-founder and President of NetMarket, an online consumer Internet service that was acquired by Cendant Corporation. Roger graduated with distinction from Yale University with a BA in Political Science.
James Slavet, Partner, Greylock Partners: James Slavet joined Greylock in 2006. His areas of focus include: consumer internet, mobile, and technology-assisted marketing services. James has an extensive background as an entrepreneur and general manager in the software, Internet and media industries. Most recently, he was a Vice President/General Manager in the Search & Marketplace business unit at Yahoo. Prior to Yahoo!, he served in key product and general management roles in several startup ventures. He was founder/chief operating officer of Guru, an online recruitment company, through its merger with Unicru; a launch team member of online consumer health company Drugstore.com; and a manager of product & business development for internet/media company Wired, which was acquired by Conde Nast and Lycos. Rick Heitzmann, Principal, Pequot Ventures: Rick Heitzmann joined Pequot Ventures in 1999 and he focuses on investments in emerging media and advertising and data and information services. Rick has led or co-led many investments in the consumer technology market including StubHub (acquired by ebay; NASDAQ: EBAY) and US Search (NASDAQ: SRCH) now First Advantage (NASDAQ: FADV). Previously, Rick was a founding member of the senior management team at First Advantage (NASDAQ: FADV), which was formed by a merger of a division of First American Corp. (NYSE: FAF) and USSearch.com, Inc. At US Search, Rick, as the senior vice president of corporate development and member of the board of directors, led the public company turnaround after Pequot Ventures recapitalized the company. Rick served as an executive with Nationsbanc Montgomery Securities in the Private Equity Group, Booz Allen Hamilton in the Financial Services and Healthcare Group and Houlihan Lokey Howard and Zukin. Rick has been featured on CNN Market Call, CNBC, and Bloomberg television and radio. Mr. Heitzmann graduated from Georgetown University with a B.S. in Business Administration and earned his M.B.A. from the Harvard Business School. Rick currently serves as a director on the board of Clickable, Live Gamer, WePlay, and Riot Games.
Tuna N. Amobi is a Director at Standard & Poors Equity Research Services, New York, where he heads a group of analysts covering the Media & Entertainment and several other Consumer Discretionary and related sectors. He helped create and develop the proprietary S&P Core Earnings® framework, and as a member of S&P's Analytical Policy Board, participates in key policy and investment decisions for S&P Investment Services. Tuna has been a frequent financial markets commentator on CNBC, Bloomberg TV, and BBC, and regularly quoted in Business Week, Wall Street Journal and Financial Times, to name a few. Prior to joining S&P in 2001, Tuna was a Senior Equity Research Analyst and a Portfolio Manager at Lehman Brothers, where started his Wall Street career on the global Fixed Income Derivatives desk. Earlier in his global consulting and accounting career, Tuna worked at KPMG Peat Marwick and Arthur Andersen, gaining significant international experience across some of the worlds leading emerging markets. After a B.Sc. (Accounting), Tuna qualified as a CPA (NY, NJ), with a law degree (JD), earning an MBA as well from the Strathclyde Business School, Scotland. A Chartered Financial Analyst (CFA), Tuna was a recently profiled in Black Enterprise Magazine, and has been named in the Wall Street Journals Best of the Street survey as a top analyst in the Media & Entertainment sector.
